MusicPay Subscription Terms Agreement

1. INTRODUCTION

These MusicPay Subscription Terms Agreement ("Subscription Terms") govern your access to and use of the MusicPay subscription payment services ("MusicPay Services"). MusicPay provides subscription payment processing services for Music and Creator-related companies (“MusicPay Clients”) including this service. 

By accessing or using the MusicPay Services, you agree to be bound by these Subscription Terms. If you're using the MusicPay Services on behalf of an organization, you represent that you have the authority to bind that organization to these Subscription Terms.

2. RELATIONSHIP WITH OTHER AGREEMENTS

2.1 Incorporated Agreements

These Subscription Terms incorporate by reference the Stripe Services Agreement, available at https://stripe.com/legal/ssa

You acknowledge that you have read, understood, and agreed to be bound by these incorporated agreements as well as any associated EULA or Privacy Policies. In the event of any conflict between these Subscription Terms and the incorporated agreements, these Subscription Terms shall govern with respect to subscription payment processing only, with all other terms including specific policies around Subscriptions, payment and use of subscription services dictated by the incorporated agreements.

3. SUBSCRIPTION SERVICES

3.1 Payment Processing

MusicPay facilitates subscription payments through Stripe's payment processing platform. All payment information provided to MusicPay is securely transmitted to Stripe for processing in accordance with the Stripe Services Agreement.

3.2 Subscription Management

MusicPay provides tools for managing subscription billing, renewals, cancellations, and payment method updates. You are responsible for maintaining current and valid payment information.

3.3 Service Access

Upon successful subscription payment processing, MusicPay Clients will grant you access to the applicable services according to your subscription plan. Access rights are subject to continuous payment of subscription fees.

4. BILLING AND PAYMENT

4.1 Recurring Billing

By subscribing through MusicPay, you authorize recurring charges to your payment method according to the subscription plan you select. Subscription fees will be automatically charged at the beginning of each billing period until your subscription is canceled.

4.2 Payment Methods

MusicPay Clients accept payment methods supported by Stripe. You agree to keep your payment information current and authorize MusicPay and MusicPay Clients to update your payment information through available card updater services.

4.3 Failed Payments

If a payment fails, MusicPay or MusicPay Clients may attempt to process the payment again and/or contact you for updated payment information. Access to subscription services may be suspended or terminated if payment cannot be successfully processed.

4.4 Price Changes

MusicPay Clients reserve the right to change subscription prices. You will be notified of any price changes at least 30 days in advance or on the timeframe set by the MusicPay Client. Your continued use of the services after the price change takes effect constitutes your acceptance of the new price.

5. SUBSCRIPTION TERM AND CANCELLATION

5.1 Subscription Term

Subscriptions commence on the date of successful initial payment and continue until cancelled according to these Subscription Terms or the applicable incorporated agreements.

5.2 Cancellation by You

You may cancel your subscription at any time through your account settings. When you cancel, you will retain access to the subscription services until the end of your current billing period, unless otherwise specified in the applicable service terms.

5.3 Cancellation by MusicPay

MusicPay or MusicPay Clients may suspend or terminate your subscription for violation of these Subscription Terms or the incorporated agreements, or for any other reason as permitted by law, with or without notice.

5.4 Refunds

Subscription fees are generally non-refundable, except as required by law or as specifically provided in the applicable service terms.

6. LIMITATIONS OF LIABILITY

6.1 Disclaimer of Warranties

THE MUSICPAY SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MUSICPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THESE SUBSCRIPTION TERMS OR YOUR USE OF THE MUSICPAY SERVICES.

MUSICPAY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE SUBSCRIPTION TERMS OR YOUR USE OF THE MUSICPAY SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE MUSICPAY SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. GENERAL PROVISIONS

7.1 Governing Law

These Subscription Terms shall be governed by the laws of the jurisdiction specified in the Terms of Service of the MusicPay Client to which you are subscribing, without regard to its conflict of laws principles.

7.2 Amendments

MusicPay may modify these Subscription Terms at any time by posting the revised version on its website. Your continued use of the MusicPay Services after the posting of the revised Subscription Terms constitutes your acceptance of the changes.

7.3 Severability

If any provision of these Subscription Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

8. PRIVACY POLICY

Your use of the MusicPay Services is also governed by the privacy policies referenced in the incorporated agreements. By using the MusicPay Services, you consent to the collection, use, and sharing of your information as outlined in those privacy policies.

By using the MusicPay Services, you acknowledge that you have read, understood, and agree to be bound by these Subscription Terms and all incorporated agreements.
